These Terms of Service ("Terms") govern your use of the adminmailserver.com website and any services provided by AdminMail Server ("AdminMail", "we", "our"), a business owned and operated by Samuel Mingo and registered in the Commonwealth of Virginia, United States.
By accessing the site or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or services.
We provide business email hosting, mail-server administration, deliverability consulting, SMTP relay and related professional services. Specific service scopes, deliverables, SLAs and pricing are set out in the individual written services agreement executed between AdminMail and each client.
You may not use our services to send unsolicited bulk email, unlawful content, malware, phishing content, or content that infringes intellectual property or violates applicable law. Full acceptable-use terms live in our Acceptable Use Policy, which is incorporated here by reference.
Fees are those set out in your services agreement or on our pricing page at the time of order. Fees are billed monthly or annually in advance in US dollars. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by Virginia law.
Monthly plans continue month-to-month and either party may terminate on 30 days written notice. Annual plans run for the stated term and renew unless either party gives 60 days written notice before renewal. We may suspend or terminate service immediately for material breach or a violation of the Acceptable Use Policy.
Each party will treat non-public information received from the other as confidential and use it only to perform the services. This obligation survives termination for three years.
We warrant that we will provide the services with the reasonable skill and care of a competent professional mail-infrastructure firm. Except as expressly stated, services are provided "as is" and we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential damages, and each party's aggregate liability under these Terms is limited to the fees paid or payable to AdminMail in the twelve months preceding the event giving rise to the claim.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Halifax County, Virginia.
If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with any written services agreement, constitute the entire agreement between the parties. We may update these Terms from time to time; the effective date at the top of this page reflects the current version.
